Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Desert Wolf Developers LLC ("Desert Wolf," "we," "us," or "our"), a KB-2 licensed general contracting firm registered in the State of Arizona (ROC #364568), with its principal place of business in Surprise, Arizona.

By accessing or using this website (desertwolfdevelopers.com), submitting any form, using any calculator tool, requesting a quote, entering into a construction agreement, or otherwise engaging with our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of this website and our services.

These Terms apply to all visitors, clients, investors, prospective partners, and any other person who interacts with Desert Wolf Developers LLC through this website or any related communication channel.

We reserve the right to update or modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of this website or services after any change constitutes your acceptance of the updated Terms.

Description of Services

Desert Wolf Developers LLC provides the following services, each subject to separate written agreements executed between you and our company:

General Contracting: Residential and commercial construction, additions, renovations, remodels, ADU construction, and site preparation services in Maricopa County, Arizona. All construction work is performed under our KB-2 dual license (ROC #364568) and is subject to a separately executed construction contract.
Fix-and-Flip Platform: A vertically integrated investment and construction service for real estate investors that includes property acquisition guidance, hard money financing sourcing, construction management, ARV valuation, and flat-fee real estate listing. Each engagement is governed by a separate project agreement or investment agreement.
Real Estate Listing Services: Juan Lopez, a licensed Arizona real estate agent affiliated with Desert Wolf, offers property listing services for completed flip projects at a flat fee of $1,500. This service is subject to a separate listing agreement and applicable Arizona real estate regulations.
Financing Sourcing: Jesus Lopez, a licensed mortgage professional, provides hard money and conventional loan sourcing services for real estate investors and buyers. This service is subject to applicable Arizona and federal mortgage lending regulations and separate disclosure agreements.
Online Tools: This website includes free-to-use calculator tools (House Flip Profit Calculator, Home Loan Calculator) that provide illustrative financial models. These tools are informational only and do not constitute financial advice, legal advice, or a guarantee of any outcome.
Investment Programs: Desert Wolf offers structured investment opportunities to accredited and non-accredited investors through its passive loan funding, 50/50 partnership, and marketing campaign programs. All investment engagements are documented with signed agreements prior to any capital transfer.

Calculator Tools — Disclaimer

This website includes two free financial modeling tools: the House Flip Profit Calculator and the Home Loan Calculator. These tools are provided as a convenience to help users understand the potential financial structure of a real estate transaction or loan scenario.

The results produced by these calculators are illustrative estimates only. They are not financial advice, investment advice, legal advice, or a guarantee of any specific outcome. Actual results will vary based on market conditions, property-specific factors, lender requirements, construction costs, permit timelines, and a wide range of other variables outside our control.

The ARV (After Repair Value) inputs used in the Flip Calculator are user-provided estimates. We strongly recommend obtaining a professional ARV analysis before making any offer on a property. Juan Lopez provides a custom ARV analysis for deals we are involved in — this analysis is a professional service, not a guarantee of sale price.

The interest rates, fees, and loan terms used in the Loan Calculator are illustrative defaults. Actual loan terms are set by individual lenders and depend on the borrower's credit profile, the property, and market conditions at the time of application.

By using these calculator tools, you acknowledge that Desert Wolf Developers LLC is not liable for any financial decisions made in reliance on the results produced by these tools. You agree to conduct your own due diligence and consult with qualified financial, legal, and real estate professionals before making any investment or purchase decision.

Construction Contracts and Project Agreements

All construction services provided by Desert Wolf Developers LLC are governed by a separate, signed written construction contract. These Terms of Service apply to your use of this website and initial engagement with our company — they do not constitute a construction contract and do not create any obligation on the part of Desert Wolf to perform construction services.

No construction work will commence until a written contract has been executed by both parties, all required permits have been applied for or obtained as specified in the contract, and any required deposits have been received.

Written Contracts Required: Desert Wolf will not perform any work based solely on verbal agreements. All scope of work, pricing, timelines, and payment schedules must be documented in a signed written contract.
Change Orders: Any modification to the agreed scope of work requires a signed written change order before the additional work begins. Verbal approvals of change work are not binding and will not be honored as a basis for payment disputes.
Payment Terms: Payment schedules are defined in each individual contract. We do not accept final payment until the client has completed a final walkthrough and signed off on project completion. Failure to make payments as scheduled may result in a work stoppage and may entitle Desert Wolf to assert a mechanic's lien on the property under Arizona law.
Permits and Inspections: Where permits are required and included in our scope, Desert Wolf will apply for and manage the permit process. The client is responsible for ensuring site access for all required inspections. Delays caused by the client's failure to provide access may result in schedule extensions and additional holding costs.
Workmanship Warranty: Desert Wolf provides a one-year workmanship warranty on all construction services. This warranty covers defects in workmanship and does not extend to normal wear and tear, damage caused by the owner or third parties, or defects in materials covered by separate manufacturer warranties.

Investment Programs — Terms and Disclosures

Desert Wolf Developers LLC offers three investment models: passive loan funding (guaranteed 25% ROI), 50/50 partnership deals, and marketing campaign funding. Each investment engagement is documented with a signed investment agreement prior to any transfer of funds.

Not a Securities Offering: The investment programs offered by Desert Wolf Developers LLC are structured as private agreements between Desert Wolf and individual investors. Nothing on this website constitutes an offer or solicitation to purchase securities. If any investment arrangement is determined to constitute a security under applicable law, the parties will comply with all applicable registration or exemption requirements.
Passive Loan Funding: Under the passive model, the investor funds the property acquisition loan and receives a guaranteed return of 25% of the invested amount at the time the property is sold. This guarantee is contractually binding and does not depend on the final sale price. However, the guarantee is contingent upon the property selling — the investor is paid at closing, not on a fixed calendar date. If the property does not sell, the timeline extends and no return is paid until sale.
50/50 Partnership: Under the partnership model, the investor and Desert Wolf share costs and profits equally. There is no guaranteed return under this model. Returns depend on the actual net profit of the transaction. The investor acknowledges the risk that costs may exceed projections or that the property may sell below the projected ARV, potentially reducing or eliminating profit.
Marketing Campaign Funding: Under this model, the investor funds a marketing campaign and receives 20% of the assignment profit from deals locked up through that campaign. Returns depend on deal volume and assignment fees actually realized. There is no guaranteed number of deals or guaranteed return.
Risk Acknowledgment: All real estate investment carries inherent risk. By participating in any Desert Wolf investment program, you acknowledge that you may lose some or all of your invested capital, that past performance does not guarantee future results, and that Desert Wolf's projections and estimates are not guarantees of any specific outcome.
Tax Implications: Investment returns may be subject to federal and state income taxes. Desert Wolf does not provide tax advice. You are responsible for consulting a qualified tax professional regarding the tax treatment of any investment return.

All content on this website — including but not limited to text, graphics, photographs, illustrations, logos, icons, calculator tools, code, and the overall design and layout — is the property of Desert Wolf Developers LLC or its licensors and is protected by applicable United States and international copyright, trademark, and intellectual property laws.

Limited License: Desert Wolf grants you a limited, non-exclusive, non-transferable, revocable license to access and use this website for its intended purpose — evaluating and engaging with our services. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. The Arizona Uniform Arbitration Act and applicable federal law shall apply to any arbitration proceedings.

Informal Resolution First: Before initiating any formal dispute resolution process, you agree to contact us in writing at info@desertwolfdevelopers.com and provide a clear description of your dispute and the resolution you seek. We will attempt to resolve the dispute informally within 30 days of receiving your written notice.
Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our services — other than claims that can be resolved in small claims court — shall be resolved through binding arbitration administered in Maricopa County, Arizona under the rules of the American Arbitration Association.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Desert Wolf Developers LLC.
Venue: For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Maricopa County, Arizona.

Contractor License Disputes: Disputes relating to construction work performed under an Arizona contractor license may also be brought before the Arizona Registrar of Contractors (ROC). The ROC has jurisdiction over complaints related to licensed contractor work and may be contacted at azroc.gov.

Termination

Desert Wolf Developers LLC reserves the right to terminate or suspend your access to this website and our services at any time, with or without cause, with or without notice, to the extent permitted by applicable law.

If you are an active construction client, any termination of services is governed by the termination provisions of your executed construction contract. These Terms do not supersede or modify the termination rights and obligations set forth in any signed project agreement.

If you are a registered investor or have a signed investment agreement, any termination is governed by the terms of that investment agreement. Termination of website access does not terminate your rights or obligations under any signed investment agreement.

Upon termination of your website access, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and governing law.

Miscellaneous Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any signed project or investment agreements, constitute the entire agreement between you and Desert Wolf Developers LLC with respect to your use of this website and our services. They supersede all prior agreements, representations, and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
